You agree to indemnify, defend, and hold harmless Visional Pop, its parent, subsidiaries, and affiliates, and each of their partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of your breach of the Terms of Service or the documents incorporated by reference, or your violation of any law or the rights of a third party.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of the Terms of Service and/or the Agreement.

The Terms of Service and the Agreement shall be governed by and construed in accordance with the laws of the State of California, U.S.A., without reference to its conflict of laws provisions, and the rights and remedies of the parties shall be determined in accordance with such laws.
Any matter, dispute or controversy between you and Visional Pop arising out of or relating to the Terms of Service or the Agreement shall be exclusively submitted to any federal or state court located in the State of California, U.S.A.
