To the maximum extent permitted by applicable law, in no case shall Visional Pop, its parent, subsidiaries, or affiliates, nor each of their directors, officers, employees, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of any of the Websites, the Store, the Services, or any products procured using the Services, or for any other claim related in any way to your use of the Website, the Store, the Services, or any product, including, but not limited to, any errors or omissions in any content, or any loss or damages of any kind incurred as a result of the use of the Services or any content (or product) posted, transmitted, or otherwise made available via the Services, even if advised of their possibility.

SECTION 13 - INDEMNIFICATION

SECTION 14 - SEVERABILITY

In the event that any provision of the Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be deemed to be lawful, valid, or enforceable to the fullest extent permitted by applicable law, and the unlawful, void, or unenforceable portion shall be deemed to be severed from the Terms of Service, and such determination shall not affect the validity and enforceability of any other remaining provisions of the Terms of Service.

SECTION 15 - TERMINATION

If, in Visional Pop’s sole judgment, you fail, or Visional Pop suspects that you have failed, to comply with any term or provision of the Terms of Service or the Agreement, Visional Pop may terminate the Terms of Service and/or the Agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination, and/or accordingly may deny you use or access to the Store or the Services (or any part thereof). The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of the Terms of Service and/or the Agreement.

SECTION 16 - ENTIRE AGREEMENT

Visional Pop’s failure to enforce any provision under the Terms of Service or the Agreement or to exercise any rights or remedies under the Terms of Service or the Agreement, or delay in exercising such rights or remedies shall not be interpreted as a waiver of such enforcement of provision nor exercise of rights or remedies by Visional Pop.

SECTION 19 - GOVERNING LAW AND DISPUTE RESOLUTION

The Terms of Service and the Agreement shall be governed by and construed in accordance with the laws of the State of California, U.S.A., without reference to its conflict of laws provisions, and the rights and remedies of the parties shall be determined in accordance with such laws.

Any matter, dispute or controversy between you and Visional Pop arising out of or relating to the Terms of Service or the Agreement shall be exclusively submitted to any federal or state court located in the State of California, U.S.A.

Visional Pop reserves the right, at its sole discretion, to update, change, or replace any part of the Terms of Service by publishing updates and changes on the Website.
